License Grant

This software and associated documentation files (the “Software”) are proprietary and confidential to Proud Nerds. By purchasing, downloading, or using this Software, you agree to be bound by the terms of this License Agreement.

Terms and Conditions

1. Ownership

The Software is licensed, not sold. Proud Nerds retains all right, title, and interest in and to the Software, including all intellectual property rights. This License does not grant you any rights to trademarks, service marks, or trade names of Proud Nerds.

2. License Scope

Subject to the terms of this Agreement and payment of applicable license fees, Proud Nerds grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the Software on websites for which you have purchased a valid license
  • Receive updates and support as specified in your license tier
  • Use the Software in accordance with its documentation

3. Restrictions

You may NOT:

  • Redistribute: Distribute, sell, lease, rent, lend, or sublicense the Software to any third party
  • Modify: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Remove Notices: Remove or alter any proprietary notices, labels, or marks on the Software
  • Share: Share your license key or credentials with unauthorized users
  • Resell: Bundle, package, or resell the Software as part of any product or service without explicit written permission
  • Copy: Make copies of the Software except as necessary for backup purposes or as expressly permitted by this License
  • Transfer: Transfer or assign your license rights without prior written consent from Proud Nerds

4. License Types

The Software is available under different license tiers. Your specific rights and limitations depend on the license type you have purchased:

  • Single Site License: Use on one (1) production website
  • Multi-Site License: Use on up to ten (10) production websites
  • Agency License: Use on unlimited client websites (subject to active subscription)

5. Updates and Support

  • Continued access to updates requires an active license or subscription
  • Support is provided through official channels only

6. Termination

This License is effective until terminated. Your rights under this License will terminate automatically without notice if you fail to comply with any of its terms. Upon termination:

  • You must cease all use of the Software
  • You must delete or destroy all copies of the Software in your possession
  • Proud Nerds reserves the right to disable your license key

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. PROUD NERDS DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

IN NO EVENT SHALL PROUD NERDS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF PROUD NERDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Confidentiality

You agree to maintain the confidentiality of any proprietary information received from Proud Nerds in connection with this Software and to use such information only in accordance with this License.

10. Compliance with Laws

You agree to comply with all applicable laws and regulations in connection with your use of the Software, including but not limited to data protection and privacy laws.

11. Third-Party Components

The Software may include third-party components that are subject to separate license terms. Such components are identified in the documentation and their respective licenses apply.

12. Governing Law

This License shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

13. Entire Agreement

This License constitutes the entire agreement between you and Proud Nerds concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software.

14. Severability

If any provision of this License is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
